Terms of Service

1. Acceptance of Terms
By creating an account on, accessing, or using the Accordo platform (the "Service"), you enter into a binding agreement with Accordo ("Accordo", "we", "us") and agree to these Terms of Service, the Refund Policy, and the Privacy Policy, each of which is incorporated by reference. If you do not agree, you may not use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to enter into a binding contract. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. Description of Service
Accordo is a two-sided marketplace that connects musicians ("Musicians") with event organizers ("Organizers") for the booking of live music services. Accordo facilitates discovery, communication, contracting, and payment between these parties.
Accordo is not a party to the underlying performance agreement between Musicians and Organizers, is not an employer, agent, or representative of Musicians, and does not select, endorse, or guarantee the performance of any user. Each booking is a direct contract between a Musician and an Organizer.
3. User Accounts
You are responsible for the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information at registration and keep it up to date. You agree to notify us immediately of any unauthorized access at security@accordo.app.
We may suspend or terminate accounts that violate these Terms, applicable law, or that we reasonably suspect of fraud, abuse, or impersonation. You may close your account at any time from your settings; outstanding obligations (including confirmed bookings and pending payments) survive account closure.
4. User Types and Roles
Musicians are responsible for the accuracy of their listed skills, instruments, availability, and qualifications, for performing the contracted services, and for complying with all applicable laws (including tax obligations on amounts received). Musicians must complete Stripe Connect onboarding (including Stripe's own terms of service) before they can receive payouts.
Organizers are responsible for the accuracy of event details (date, time, location, requirements, compensation), for paying the agreed amounts on time, and for providing a safe environment for the Musician at the event.
5. Bookings and Payments
A booking becomes binding when both parties have accepted the same set of terms through the platform and the Organizer has completed payment via our payment processor, Stripe. Accordo applies the following service fees to every confirmed booking:
- Organizer fee: 7.5% of the agreed musician amount plus $0.30, with a minimum of $1.99.
- Musician fee: 5% of the agreed musician amount, deducted from the payout.
The full fee breakdown is displayed before payment and before any offer is accepted. By completing checkout the Organizer authorizes Accordo (via Stripe) to charge the displayed total amount.
Musician payouts are released to the Musician's Stripe Connect account 24 hours after the event ends, provided no dispute has been opened. Payouts are subject to Stripe's standard transfer timing.
6. Cancellation Policy
Bookings that have not yet been paid for can be cancelled at any time by either party with no financial consequences.
For confirmed (paid) bookings, the following tiered refund schedule applies:
- 30 or more days before the event: 100% refund to the Organizer; 0% to the Musician.
- 14 to 29 days before the event: 50% refund to the Organizer; 50% paid to the Musician.
- 7 to 13 days before the event: 25% refund to the Organizer; 75% paid to the Musician.
- Less than 7 days before the event: 0% refund; 100% paid to the Musician.
The Accordo organizer fee is refunded only at the 100% tier and is otherwise retained. The full cancellation policy is set out in the Refund Policy.
7. Disputes
Either party may file a dispute through the platform within 24 hours after the event end. While a dispute is open, funds are held and not released to the Musician. Both parties may submit evidence (up to 10 items each). Accordo will issue a final, binding resolution typically within 7 days, which may include partial or full refunds, full musician payment, or account-level action against bad-faith filers.
Safety concerns and property damage claims may be filed after the 24-hour window. Disputes filed directly with a payment network (chargebacks) are handled by Stripe; the booking will be flagged and funds held pending the outcome.
8. Prohibited Conduct
You agree not to: (a) misrepresent your identity, qualifications, availability, or affiliation; (b) engage in fraud, money laundering, or deceptive practices; (c) harass, threaten, intimidate, or discriminate against other users; (d) circumvent the platform to avoid Accordo's service fees, including by completing payment off-platform; (e) upload content that is illegal, defamatory, infringes intellectual-property rights, or contains malware; (f) attempt to access, scrape, or interfere with the Service or other users' data; or (g) use the Service for any unlawful purpose. Violations may result in immediate account suspension, forfeiture of pending payouts, and reporting to law enforcement.
9. Intellectual Property
The Accordo platform, including all software, design, brand, and content created by us, is owned by Accordo or its licensors and is protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without prior written permission.
You retain ownership of content you upload (profiles, repertoire files, photos, messages) and grant Accordo a non-exclusive, worldwide, royalty-free license to host, display, and distribute it for the purpose of providing the Service. Repertoire files uploaded by Organizers are only accessible to Musicians with an active application or confirmed booking and are served via short-lived signed URLs.
10. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Accordo does not guarantee the quality, safety, accuracy, legality, or completion of services arranged through the platform.
To the maximum extent permitted by law, Accordo's total aggregate liability arising from or related to these Terms or the Service is limited to the greater of (i) the total service fees paid by you to Accordo in the 12 months preceding the claim and (ii) one hundred U.S. dollars ($100). In no event will Accordo be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, data, or goodwill.
You agree to indemnify and hold Accordo, its officers, employees, and agents harmless from any claim, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.
11. Account Suspension, Termination, and Withdrawal Freeze
Accordo may suspend, restrict, or terminate your account, and may freeze pending withdrawals, if we reasonably believe you have violated these Terms, applicable law, or our community standards, or if we are required to do so by Stripe or a payment-network rule. Frozen funds remain in escrow pending resolution; you may appeal in writing to appeals@accordo.app within 30 days. We retain account data for as long as required by law or as necessary to resolve disputes and enforce these Terms.
12. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by email to the address on file and by prominent notice within the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and close your account.
13. Governing Law, Arbitration, and Jurisdiction
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through the platform's internal dispute process or through good-faith negotiation will be settled by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, with the seat of arbitration in Miami-Dade County, Florida. The arbitrator's award is final and may be entered in any court of competent jurisdiction.
Class-action waiver. You and Accordo each agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. If this class-action waiver is held unenforceable, the entire arbitration clause will be null and void, and the parties will instead litigate in the state or federal courts located in Miami-Dade County, Florida, to whose exclusive jurisdiction you consent.
Opt-out. You may opt out of arbitration by sending written notice to legal@accordo.app within 30 days of first accepting these Terms.
